The EXCITING EDUCATIONAL EXCURSION SWEEPSTAKES ("Sweepstakes") starts at 12:01 a.m. Pacific Time ("PT") on October 24, 2008 and ends at 11:59 p.m. PT on December 15, 2008 ("Entry Period"). The sponsors of this Sweepstakes are NAMCO BANDAI Games America Inc., 4555 Great America Parkway, Suite 201, Santa Clara, CA 95054 and National Geographic Society, 1145 17th Street N.W., Washington D.C. 20036 (collectively, the "Sponsors"). The Sweepstakes shall be subject to these Official Rules, and by entering, all entrants agree to be bound by the terms and conditions herein.

ELIGIBILITY: SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND DISTRICT OF COLUMBIA (EXCEPT RESIDENTS OF PUERTO RICO, ALL U.S. TERRITORIES AND POSSESSIONS AND OVERSEAS MILITARY INSTALLATIONS), THIRTEEN (13) YEARS OF AGE OR OLDER AS OF ENTRY DATE. THIS SWEEPSTAKES IS VOID WHERE PROHIBITED BY LAW. Employees of Sponsors, West Coast Marketing, a division of The Susquehanna Hat Company ("West Coast Marketing"), Mia Brown & Co., LLC D/B/A MBC Promotions, and their respective affiliates, subsidiaries, parent companies and advertising and promotion agencies (collectively, with Sponsors, the "Promotion Parties"), and their immediate family members (spouses, parents, siblings and children and their respective spouses, regardless of where they reside) and those living in the household of same, whether related or not, are not eligible to enter or win. If any winner is considered a minor in the legal jurisdiction in which he or she resides, Sponsors reserve the right to award the prize in the name of said minor's parent or legal guardian, who will be responsible for fulfilling all requirements imposed on winners set forth herein. Sweepstakes is subject to all applicable federal, state and local laws.

HOW TO ENTER: During the Entry Period, you may enter by logging onto http://www.ngpanda.com (the "Entry Site") and following the Sweepstakes entry directions, providing your first and last name, street address (no P.O. boxes), city, state, zip code, daytime telephone number (area code included), date of birth and e-mail address. ONLY ONE (1) ENTRY PER PERSON, PER HOUSEHOLD ADDRESS, AND PER E-MAIL ADDRESS WILL BE ACCEPTED. ENTRIES RECEIVED FROM ANY PERSON, HOUSEHOLD OR EMAIL ADDRESS IN EXCESS OF THE STATED LIMIT WILL BE VOID. ALL ENTRIES MUST BE RECEIVED BY 11:59 P.M. PT ON DECEMBER 15, 2008 TO BE ELIGIBLE.

Promotion Parties, and their respective officers, directors, shareholders, employees and agents, and any and all Internet server(s) and access provider(s), and their respective affiliates, subsidiaries, parent corporations and advertising and promotional agencies, and each of their respective officers, directors, shareholders, employees and agents (collectively, "Releasees") are not responsible for any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, satellite, cable, Internet Service Provider (ISP), computer online systems, computer equipment, servers, providers, hardware or software, including without limitation any injury or damage to participant's or any other person's computer relating to or resulting from participation in the Sweepstakes; inability to access the Entry Site or any web pages thereof; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any web site (including the Entry Site) or for any other reason whatsoever; typographical, printing, network, mechanical, human or other errors, including, without limitation, errors or problems which may occur in connection with the administration of the Sweepstakes, the announcement of the prizes, the processing of entries or in any other Sweepstakes-related materials. Releasees are also not responsible for lost, late, incomplete, stolen, garbled, inaccurate, misdirected, delayed or undelivered entries. Proof of entering information at the Entry Site is not considered proof of delivery or receipt. All entries become the property of Sponsors and will not be acknowledged or returned. False, fraudulent or deceptive entries or acts shall render entrants ineligible and all associated entries will be void. By participating in the Sweepstakes, entrants affirm that they have read and accepted these Official Rules. The Sweepstakes shall be governed by and construed in accordance with the laws of the United States. By participating in the Sweepstakes, entrants hereby submit to the jurisdiction and venue of the federal and state courts of the United States and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. The information obtained via the entry will be used by Sponsors and their respective affiliates for marketing purposes. Sponsors and their respective affiliates would like to use this information to contact you either by mail or e-mail with updates about special promotions or offers. If you prefer not to receive updates please indicate such preference in your entry. Any information collected from the entries shall be used only in a manner consistent with these Official Sweepstakes Rules and with the National Geographic Society Privacy Policy, which can be found at the Entry Site.

WINNER SELECTION: The potential winners will be selected in a random drawing on or about December 19, 2008 by West Coast Marketing, an independent judging organization, whose decisions are final and binding in all matters relating to this Sweepstakes. Odds of winning depend on the number of eligible entries received. The potential Grand Prize winner will be notified by e-mail, certified mail and/or telephone by December 31, 2008 and will be required to execute and return a notarized Affidavit of Eligibility/Release of Liability and (except where prohibited) Publicity Release form and a completed IRS W-9 form within ten (10) days of date of issuance. Grand Prize winner's travel companions must be of legal age of majority in their jurisdiction of residence (and at least 18) unless accompanied by a parent or legal guardian and will be required to execute and return a Release of Liability and Publicity form. If travel companion is a minor, his/her parent or legal guardian must complete all required documents on behalf of such travel companion and travel with such travel companion. Failure to return all required forms within ten (10) days of date of issuance may result in the Grand Prize winner being disqualified and, at Sponsors' sole discretion an alternate Grand Prize winner selected.

First Prize and Second Prize winners will be notified within sixty (60) days of the drawing date with the delivery of their prize via mail or other delivery service determined at the sole discretion of the Sponsors.

Noncompliance with these Official Rules, the inability to contact a potential winner within a reasonable time period, or if any prize notification or prize is returned as undeliverable for any reason, may result in disqualification and prize may be awarded to an alternate winner, at Sponsors' sole discretion. All federal, state and local taxes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. Acceptance of a prize constitutes permission (except where prohibited) for Sponsors and their respective designees to use each winner's name, likeness, picture, voice, biographical information and statements for publicity, advertising, trade and promotional purposes in any and all media now known or hereafter discovered, worldwide in perpetuity, and on the Internet and World Wide Web, without additional compensation, notification or permission of any kind.

PRIZES: GRAND PRIZE (1): A trip for Grand Prize winner and up to three (3) travel companions to Washington D.C. Grand Prize consists of: roundtrip ("r/t") coach-class air transportation (via airline carrier(s) selected by Sponsors or their designees) for four (4) between the major U.S. gateway city airport nearest Grand Prize winner's home and a Washington D.C. area airport (to be determined by Sponsors), four (4) consecutive nights/five (5) days hotel accommodations (single room, quadruple occupancy) at a Washington D.C. area hotel selected by Sponsors ("Hotel"), a check in the amount of five hundred dollars $500, one (1) Nintendo DS for winner only, one (1) copy of the "National Geographic Panda" DS videogame for the winner only and a one (1) year subscription to National Geographic Kids magazine for the winner only. The Approximate Retail Value ("ARV") of this prize is five thousand five hundred and twenty dollars and ninety-nine cents ($5,520.99). Actual value depends on departure city, dates of travel and market conditions at time of travel booking. Any difference between stated ARV and actual value of prize will not be awarded. All travel is subject to certain travel restrictions and black out dates. All federal, state and local taxes, additional ground transfers, gratuities, excursions, insurance, checked baggage fees, incidentals, departure and airport taxes and fees and any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the Grand Prize winner. If the Grand Prize winner lives within a one hundred and fifty (150) mile radius of Washington D.C., ground transportation may be provided in lieu of air transportation, at Sponsors' sole discretion, and no compensation or substitution will be provided for the difference in prize value.

All travel arrangements are to be administered by Sponsors and/or their designees. All travel is subject to airline and hotel availability and blackout dates. Other restrictions may apply. Grand Prize winner and travel companions must travel together on the same itinerary. Grand Prize winner and his or her travel companions will be required to provide valid government issued photo ID at time of travel as required by travel authorities. No changes will be made to travel details once any portion of travel arrangements has been made. Prize conditions may be added or modified by Sponsors. Releasees are not responsible for cancellation of any element of Grand Prize or for changes in schedule of any element of the Grand Prize. All federal, state and local taxes/fees and expenses in conjunction with air tickets are the responsibility of the Grand Prize winner. Travel must originate from and end at the same airport. Once travel commences, no stopovers are permitted; if stopover occurs, full fare will be charged from stopover point for the remaining segments, including return, of the trip. Grand Prize winner will be required to provide a minimum of forty-five (45) days advance notice of departure date and all travel must be completed by December 31, 2009 or prize will be forfeited and Sponsors will have no further obligation to such winner. All travel arrangements must be made through Sponsors' agent on a carrier of Sponsors' choice. Vouchers are subject to certain terms and conditions as specified by issuer.

FIRST PRIZE (10): Each First Prize consists of one (1) Nintendo DS and one (1) copy of the "National Geographic Panda" videogame (ARV one hundred sixty-nine dollars and ninety-nine cents ($169.99) each).

SECOND PRIZE (5): Each Second Prize consists of one (1) copy of the "National Geographic Panda" videogame and a one (1) year subscription to National Geographic Kids magazine (ARV forty-four dollars and ninety-nine cents ($44.99) each).

The total ARV of all prizes to be awarded in this Sweepstakes is seven thousand, four hundred and forty-five dollars and eighty-four cents ($7,445.84).

Prizes are non-transferable, non-assignable, and may not be redeemed for cash. Sponsors reserve the right to substitute a prize (or portion thereof) with one of comparable or greater value, at their sole discretion. Prize may not be sold, bartered or exchanged by winner. All prizes are awarded "as is" and without any warranty of any kind, either express or implied by Sponsors. Limit one (1) prize per household. By accepting a prize, each winner acknowledges compliance with these Official Rules. All prize details are at Sponsors' sole discretion.

LIMITATIONS ON LIABILITY: Releasees shall not be liable to winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsors' sole control. Releasees shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the air carrier(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. Releasees shall not be liable for any loss or damage to baggage.

GENERAL: Entrants agree to release and waive any claims they may have against Releasees for any and all injuries, claims, damages, losses, costs, or expenses of any kind (including without limitation attorney's fees) resulting from acceptance, use, or misuse of any prize or element thereof (including any travel/activity related thereto), or from participation in this Sweepstakes.

If for any reason this Sweepstakes is not capable of running as planned, or if this Sweepstakes or any web site associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of entries in accordance with these Official Rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by entrants, fraud, technical failures, or any other causes, in the Sponsors' sole opinion, corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsors reserve the right, at their sole discretion, to disqualify any individual implicated in such action and void all associated entries, and/or to cancel, terminate, modify, or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled or terminated, the Sponsors reserve the right to conduct a random drawing to award all prizes from among all eligible, non-suspect entries received prior to the time of the action or event warranting such cancellation or termination. If such cancellation, termination, modification, or suspension occurs, notification will be posted at the Entry Site. Any attempt by an entrant or any other individual to deliberately damage any web site (including the Entry Site) or undermine the legitimate operation of the Sweepstakes is a violation of criminal and/or civil laws and should such an attempt be made, the Sponsors reserve the right to seek damages and other remedies (including attorneys' fees) from any such person to the fullest extent permitted by law. If a dispute arises about who submitted an entry on the Entry Site, the entry will be deemed submitted by the authorized account holder of the e-mail account entered. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider, or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsors with proof that he/she is the authorized account holder of the e-mail address associated with the winning entry and that all eligibility requirements are met. Sponsors' good faith determination of eligibility and any other disputed issue as it relates to this Sweepstakes is final and binding.

NOTE: Entry must be made by the entrant, only at the Entry Site. Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. The use of script, macro or any other device or computer software to automate the entry process is prohibited and all such entries will be void.
